Waysis BV realized the buy-out of several minority shareholders, including NPM Capital (NPM), through a share buy-back that was realized through a (re)financing transaction with Fortis Bank (currently ABN Amro).
Lindenaar & Co advised the various shareholders as “advisor to the transaction”. The activities included the composition of an LoI between the buying and selling shareholders, co-ordination of a controlled auction with banks, writing an information memorandum, term sheet negotiations, due diligence co-ordination and closing of the financing.
